Benefit changes, substitutions, and liability.

The Company may, in its sole discretion, modify, amend, substitute, suspend, or discontinue any membership benefit at any tier at any time. Recognition in press releases and media outreach is guaranteed and will not be withdrawn, subject to applicable law, partner or platform guidelines, and the member providing required consents and materials by stated deadlines. Changes may be required due to scheduling shifts, production constraints, venue or partner availability, regulatory or legal requirements, safety considerations, capacity limits, travel restrictions, economic conditions, or other events beyond the Company’s reasonable control, including force majeure. The Company will use reasonable efforts to notify members of any material changes in a timely manner by email or through the member portal. The Company may substitute experiences or access of comparable nature or approximate retail value. Cash alternatives are not offered. Membership fees and annual dues are nonrefundable in the event of such modifications or substitutions, except where required by law.

All benefits are provided on an as available basis. The Company does not warrant uninterrupted access to any specific talent, date, venue, production, experience, or outcome. The Company is not responsible for the acts, omissions, or availability of third parties, including venues, partners, vendors, airlines, hotels, or platforms, and shall have no liability for third party delays, cancellations, or service issues.

To the maximum extent permitted by law, the Company’s total liability for any claim arising out of or related to membership or benefits will not exceed the total membership fees and dues paid by the member during the twelve months immediately preceding the event giving rise to the claim. In no event will the Company be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or business interruption, even if advised of the possibility of such damages. Members agree to indemnify and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of the member’s breach of the membership terms, misuse of benefits, violation of law, or misconduct. This section survives termination or expiration of membership and governs over any conflicting marketing language regarding benefits.
